Dear [Mr./Mrs.] [Last Name of Recipient]:
I regret that I must inform you that I will not be able to deliver to you the full quantity of goods called for by our agreement dated [Date of agreement] for the following reasons: [Reason for not being able to deliver goods].
In consequence of the foregoing, my productive capacity has been seriously impaired and I do not have any stock on hand from which to fill our agreement.
Pursuant to [cite local enactment of UCC $ 2-615], I am claiming the right to allocate my restricted productive capacity among my customers on the following basis: . You are accordingly entitled to [Percent of entitlement] % percent of the quantity ordered by you.
